These Payment Terms & Conditions (“Terms”) govern all payments made by franchisees, partners, or customers (“Partner/Franchisee”) to URESIA LOGISTICS (OPC) PVT. LTD. (“Company”).

1. Franchise Fees
  • The Franchisee shall pay a one-time non-refundable Franchise Fee as communicated at the time of approval.
  • The Franchise Fee grants limited rights to operate under the Company’s brand as per the Franchise Agreement.
  • Franchise rights will be activated only after full payment and execution of the Agreement.
2. Security Deposit
  • A refundable security deposit may be required to ensure compliance with operational standards and payment obligations.
  • The security deposit shall be refunded after termination or expiry of the agreement, subject to:
    • Clearance of all dues
    • No pending disputes or damages
    • Return of company assets (if any)
3. Commission & Revenue Settlement
  • Franchisees shall earn commission on successful shipments as per the agreed commission structure.
  • Revenue settlements will be calculated on a weekly / fortnightly / monthly basis (as applicable).
  • Payments shall be released after adjustment of COD remittances, penalties, service charges, and outstanding dues.
4. Payment Mode

All payments to the Company shall be made only through:

  • Bank Transfer (NEFT / RTGS / IMPS)
  • UPI
  • Authorized online payment gateways

Cash payments are strictly not accepted.

5. Invoicing
  • The Company shall issue invoices electronically or physically.
  • Franchisees must raise any invoice-related dispute within 7 working days of invoice issuance.
  • Failure to raise disputes within the stipulated time shall be deemed invoice acceptance.
6. Taxes
  • All payments are exclusive of applicable taxes including GST unless stated otherwise.
  • Franchisees are responsible for compliance with applicable tax laws.
7. Late Payment & Penalties
  • Delayed payments may attract late interest, service suspension, or adjustment against security deposit.
  • Continued non-payment may lead to termination of franchise rights without notice.
8. Refund Policy
  • Franchise fees are strictly non-refundable.
  • Refunds (if applicable) shall be processed within 30–45 working days after verification.
9. Payment Disputes
  • All payment disputes must be reported in writing.
  • The Company’s decision after review shall be final and binding.
10. Modification of Payment Terms
  • The Company reserves the right to modify payment terms, commission policies, or settlement cycles.
  • Updates shall be communicated through email or official website.
11. Governing Law

These Terms are governed by the laws of India. Jurisdiction shall be Delhi, India.
